These Advocate AI Terms and Conditions ("Terms of Use") by and between Advocate Technologies, Inc., a Washington corporation with offices located at 500 108th Avenue Northeast, Suite 1100, Bellevue, WA, 98004 ("Advocate," “we,” or “us”), and you (“You” or "User"), govern your access to and use of https://www.Advocate.ai/, including any content, functionality, and services offered on or through https://www.Advocate.ai/ (the "Website"). Advocate and User may be referred to herein collectively as the "Parties" or individually as a "Party."
Please read the Terms of Use carefully before you start to use the Website. By using the Website, you accept and agree to be bound and abide by these Terms of Use. If you do not want to agree to these Terms of Use, you must not access or use the Website.
1. Changes to the Terms of Use
We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Website following the posting of revised Terms of Use means that you accept and agree to the changes. You are expected to check this page from time to time so you are aware of any changes, as they are binding on you.
2. Legal Advice and Approval by Attorney
The information provided on the Website, including information contained in documents available on the Website, does not, and is not intended to, constitute legal advice. Any information provided on the Website is for informational purposes only. Further, use of any documents, services, or products made available or sold on the Website does not constitute legal advice and all documents generated by the Website should be reviewed by an attorney before being executed. Advocate AI is not responsible for your use of the documents or any consequences arising from your failure to obtain attorney approval before executing any such documents.
3. Accessing the Website
We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website, to users, including registered users.
You are responsible for both:
- Making all arrangements necessary for you to have access to the Website.
- Ensuring that all persons who access the Website through your internet connection are aware of these Terms of Use and comply with them.
To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete. You agree that all information you provide to register with this Website or otherwise, including, but not limited to, through the use of any interactive features on the Website, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.
4. Definitions
(a) "Aggregated Statistics" means data and information related to User's use of the Services that is used by Advocate in an aggregate and anonymized manner, including to compile statistical and performance information related to the provision and operation of the Services.
(b) "Authorized User" means User's employees, consultants, contractors, and agents who are authorized by User to access and use the Services under the rights granted to User pursuant to these Terms of Use.
(c) "User Data" means, other than Aggregated Statistics, information, data, and other content, in any form or medium, that is submitted, posted, or otherwise transmitted by or on behalf of User or an Authorized User through the Services.
(d) "Documentation" means Advocate's end user documentation relating to the Services that will be made available to User or its Authorized Users within the Services.
(e) "Advocate IP" means the Services, the Documentation, and any and all intellectual property provided to User or any Authorized User in connection with the foregoing. For the avoidance of doubt, Advocate IP includes Aggregated Statistics and any information, data, or other content derived from Advocate's monitoring of User's access to or use of the Services, but does not include User Data.
(f) "Services" means the software-as-a-service offering provided by Advocate through the Advocate platform, which allows Authorized Users to input information to populate a template, generate contracts for legal review and revision, and route the contract for approval and signature via integrated workflow systems.
(g) "Third-Party Products" means DocuSign (for contract execution), Twilio and SendGrid (for SMS and emails), and any other third-party products provided with or incorporated into the Services.
5. Access and Use
(a) Provision of Access. Subject to and conditioned on User's compliance with all the terms and conditions of these Terms of Use, Advocate hereby grants User a non-exclusive, non-transferable (except in compliance with) right to access and use the Services, solely for use by Authorized Users in accordance with the terms and conditions herein. Such use is limited to User's internal use. Advocate shall provide to User the necessary passwords and network links or connections to allow User to access the Services.
(b) Documentation License. Subject to the terms and conditions contained in these Terms of Use, Advocate hereby grants to User a non-exclusive, non-sublicensable, non-transferable (except in compliance with) license to use the Documentation solely for User's internal business purposes in connection with its use of the Services.
(c) Use Restrictions. User shall not use the Services for any purposes beyond the scope of the access granted in these Terms of Use. User shall not at any time, directly or indirectly, and shall not permit any Authorized Users to: (i) copy, modify, or create derivative works of the Services or Documentation, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or Documentation; (iii) reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to any software component of the Services, in whole or in part; (iv) remove any proprietary notices from the Services or Documentation; (v) publicly disseminate information regarding the performance of the Services without Advocate’s prior written approval; or (vi) use the Services or Documentation in any manner or for any purpose that infringes, misappropriates, or otherwise violates any intellectual property right or other right of any person, or that violates any applicable law.
(d) Reservation of Rights. Advocate reserves all rights not expressly granted to User in these Terms of Use. Except for the limited rights and licenses expressly granted under these Terms of Use, nothing in these Terms of Use grants, by implication, waiver, estoppel, or otherwise, to User or any third party any intellectual property rights or other right, title, or interest in or to the Advocate IP.
(e) Suspension. Notwithstanding anything to the contrary in these Terms of Use, Advocate may temporarily suspend User's and any Authorized User's access to any portion or all of the Services if: (i) Advocate reasonably determines that (A) there is a threat or attack on any of the Advocate IP; (B) User's or any Authorized User's use of the Advocate IP disrupts or poses a security risk to the Advocate IP or to any other customer or vendor of Advocate; (C) User, or any Authorized User, is using the Advocate IP for fraudulent or illegal activities; (D) subject to applicable law, User has breached any of these Terms of Use; or (E) there is a need to perform emergency maintenance on any of the Advocate IP (each, a "Service Suspension"). Advocate will use commercially reasonable efforts to provide written notice of any Service Suspension to User and to promptly reinstate access to the affected Services as soon as the situation giving rise to the Service Suspension is resolved.
(f) User Responsibilities. User is responsible for all activities that occur under User's and its Authorized Users' accounts and shall abide by all applicable laws and regulations in connection with their use of the Services. User is responsible for ensuring that Authorized Users comply with these Terms of Use and for any breach of these Terms of Use by any Authorized Users. User is responsible for maintaining the confidentiality of User's account and passwords and for all activities that occur under User's account and passwords. User shall immediately notify Advocate of any unauthorized use of User's account or passwords or any other breach of security.
6. Ownership
The Services and Documentation are licensed, not sold, to User. Advocate and its licensors own and shall own all right, title, and interest in and to the Advocate IP, including all intellectual property rights therein. User has no rights in or to the Advocate IP except for the limited rights expressly granted in these Terms of Use.
7. Confidentiality
(a) Confidential Information. "Confidential Information" means any information disclosed by either Party to the other Party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information does not include information that: (i) was known to the receiving Party prior to disclosure by the disclosing Party; (ii) becomes publicly available through no fault of the receiving Party; (iii) is disclosed to the receiving Party by a third party who is not under an obligation of confidentiality; or (iv) is independently developed by the receiving Party without use of or reference to the Confidential Information.
(b) Obligations. Each Party agrees to: (i) use Confidential Information only as necessary to perform its obligations or exercise its rights under these Terms of Use; (ii) take all reasonable steps to protect the confidentiality of Confidential Information; and (iii) not disclose Confidential Information to any third party except to its employees, agents, and contractors who have a need to know and are bound by confidentiality obligations at least as protective as those in these Terms of Use.
(c) Compelled Disclosure. If a Party is compelled by law to disclose Confidential Information, it will give the disclosing Party prompt notice and cooperate with the disclosing Party to seek a protective order or other appropriate remedy.
8. Term and Termination
(a) Term. These Terms of Use shall commence on the Effective Date and continue until terminated by either Party as provided herein.
(b) Termination for Convenience. Either Party may terminate these Terms of Use for any reason upon thirty (30) days' written notice to the other Party.
(c) Termination for Cause. Either Party may terminate these Terms of Use if the other Party breaches any of these Terms of Use and fails to cure such breach within thirty (30) days after receiving written notice thereof.
(d) Effects of Termination. Upon termination of these Terms of Use, User shall cease all use of the Services and Documentation. Termination of these Terms of Use will not relieve User of any obligations incurred prior to the effective date of termination. Provisions that by their nature should survive termination will survive, including, but not limited to, confidentiality, indemnity, and limitations of liability.
9. Disclaimers and Limitation of Liability
(a) Disclaimers. The Website is provided "as is" and "as available" without warranties of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Advocate does not warrant that the Website will be uninterrupted, error-free, or free of viruses or other harmful components.
(b) Limitation of Liability. In no event will Advocate be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the Website; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the Website; (iv) any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Website; or (v) any errors or omissions in any content or materials on the Website.
10. Indemnification
User agrees to indemnify, defend, and hold harmless Advocate, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) User's use of the Services or Website; (ii) any User Data or other content that User submits, posts, or otherwise transmits through the Website; or (iii) any violation of these Terms of Use by User.
11. Governing Law and Dispute Resolution
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any dispute arising out of or related to these Terms of Use shall be resolved exclusively in the state or federal courts located in King County, Washington.
12. Miscellaneous
(a) Entire Agreement. These Terms of Use constitute the entire agreement between User and Advocate with respect to the subject matter hereof and supersede all prior or contemporaneous understandings and agreements, whether written or oral, with respect to such subject matter.
(b) Severability. If any provision of these Terms of Use is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
(c) Waiver. The failure of either Party to enforce any provision of these Terms of Use will not be deemed a waiver of future enforcement of that or any other provision.
(d) Assignment. User may not assign these Terms of Use or any of its rights or obligations hereunder without Advocate’s prior written consent. Advocate may assign these Terms of Use without restriction.
(e) Force Majeure. Neither Party will be liable for any failure or delay in performing its obligations under these Terms of Use due to circumstances beyond its reasonable control, including but not limited to, acts of God, natural disasters, war, terrorism, and labor disputes.
(f) Relationship of the Parties. Nothing in these Terms of Use will be construed as creating a partnership, joint venture, agency, or employment relationship between the Parties.
